BROKER SUBSCRIBER AGREEMENT (TERMS OF SERVICE)

BETWEEN:

1. CRITERAI LTD, a company incorporated in England and Wales with company number 16482593 (“CriterAI”, “We”, “Us”); and
2. THE SUBSCRIBER, being the individual or corporate entity registering for access to the Service (“The Broker”, “You”).

1. INTERPRETATION

• "Authorised User" means an individual employee or agent of the Broker who has been assigned a unique login to access the Service.
• "The Service" means the mortgage criteria search platform provided by CriterAI via www.criterai.co.uk.
• "Lender Data" means the criteria, policy notes, and product information displayed on the Service.

2. ACCESS AND LICENCE

2.1 Grant of Licence: Subject to payment of the Fees, CriterAI grants the Broker a non-exclusive, non-transferable, revocable licence to access and use the Service for internal business purposes solely for the purpose of researching mortgage lending criteria.

2.2 User Limits: Access is restricted to the specific number of Authorised Users covered by your subscription plan. Login credentials must not be shared between multiple individuals ("seat-sharing").

2.3 Professional Use Only: The Broker represents and warrants that they are accessing the Service in their capacity as a mortgage professional (e.g., Mortgage Intermediary, IFA, or Packager) and not as a consumer borrower.

3. THE NATURE OF THE SERVICE (IMPORTANT DISCLAIMERS)

3.1 No Financial Advice: CriterAI is a technology provider and aggregator of information. We are not a mortgage lender, broker, or financial advisor. Nothing on the Service constitutes financial advice or a recommendation to purchase any specific product.

3.2 Data Accuracy: While CriterAI uses reasonable endeavours to ensure Lender Data is accurate and sourced directly from Lenders, we do not guarantee the accuracy, completeness, or timeliness of the information. Lending criteria change frequently and without notice.

3.3 Broker Responsibility: You acknowledge that it is your sole responsibility to:

• (a) Verify all criteria directly with the Lender prior to submitting any application or giving advice to a client;
• (b) Ensure that any product selected is suitable for your client in accordance with FCA rules and the Consumer Duty; and
• (c) Conduct your own due diligence.
